By accessing or using the Codonca platform ("Platform"), website at codonca.com ("Site"), or any related services, applications, or tools (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Codonca Inc. ("Codonca," "we," "us," or "our"), a corporation organized under the laws of the State of Florida, United States.

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or through an in-app notification. Your continued use of the Services after any such modification constitutes your acceptance of the revised Terms.

Codonca provides a data-driven salvage vehicle analysis platform designed to help buyers make informed purchasing decisions. Our Services include, but are not limited to:

• Salvage vehicle ROI (Return on Investment) analysis and reporting
• Market intelligence including clean market value estimates
• AI-powered vehicle damage assessment and parts cost estimation
• Vehicle shipping and transport cost estimates
• Historical auction data and vehicle history lookups
• OEM and aftermarket parts pricing information
• Downloadable PDF analysis reports

The Platform aggregates data from third-party sources including auction networks, parts suppliers, and transport providers. While we strive for accuracy, all data, estimates, and analyses are provided for informational purposes only and should not be construed as professional appraisals, guarantees of value, or investment advice.

To use our Services, you must be at least 18 years of age and capable of entering into a legally binding agreement. By creating an account, you represent and warrant that:

• You are at least 18 years old
• All information you provide during registration is accurate, current, and complete
• You will maintain and promptly update your account information
• You are responsible for maintaining the confidentiality of your account credentials
• You accept responsibility for all activities that occur under your account
• You will notify us immediately of any unauthorized access to your account

We reserve the right to suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or is associated with fraudulent activity.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Scrape, crawl, or use automated means to extract data from the Platform without our express written permission
• Attempt to reverse-engineer, decompile, or disassemble any part of the Services
• Resell, redistribute, or commercially exploit any data, reports, or content obtained through the Services without authorization
• Upload or transmit viruses, malware, or any other harmful code
• Interfere with or disrupt the integrity or performance of the Services
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Use the Services to harass, abuse, or harm another person or entity
• Circumvent any access controls, rate limits, or security measures implemented on the Platform

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at our sole discretion.

Certain features of the Services require payment. By purchasing a report, subscription, or any paid feature, you agree to the following:

• All prices are displayed in United States Dollars (USD) unless otherwise stated
• Payment is processed securely through our third-party payment provider (Stripe). We do not store your full credit card details on our servers
• Per-report purchases are charged at the time of purchase and are non-refundable once the report has been generated and delivered
• VIP annual subscriptions are billed upfront for the full subscription period
• You are responsible for any applicable taxes associated with your purchases

We reserve the right to modify pricing at any time. Any price changes will apply to new purchases only and will not affect previously completed transactions or active subscription terms.

Refund requests for subscriptions may be considered on a case-by-case basis within 7 days of purchase if the Services have not been substantially used. To request a refund, contact us at support@codonca.com.

All content, features, and functionality of the Services — including but not limited to the software, algorithms, design, text, graphics, logos, icons, and data compilations — are the exclusive property of Codonca Inc. or its licensors and are protected by United States and international copyright, trademark, patent, and trade secret laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes, subject to these Terms. This license does not include the right to:

• Modify, copy, or create derivative works based on the Services
• Use any data mining, robots, or similar data-gathering methods
• Commercially redistribute or republish any reports or data obtained through the Services
• Remove or alter any proprietary notices, labels, or marks on the Services

Reports purchased through the Platform are licensed for your personal or internal business use. You may not resell, publicly distribute, or commercially sublicense individual reports without our written consent.

The Platform integrates data from various third-party sources, including auction networks, vehicle valuation providers, parts databases, and transport carriers. We do not control, endorse, or assume responsibility for the accuracy, completeness, or reliability of any third-party data.

Links to third-party websites or services may be provided for your convenience. We are not responsible for the content, privacy policies, or practices of any third-party sites or services. Your use of third-party services is governed by their respective terms and conditions.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WITHOUT LIMITING THE FOREGOING, CODONCA DOES NOT WARRANT THAT:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from the Services will be accurate, reliable, or complete
• Any ROI estimates, market values, repair cost estimates, or shipping quotes will reflect actual real-world outcomes
• The Services will meet your specific requirements or expectations

Vehicle valuations, damage assessments, repair cost estimates, and ROI projections are generated using automated algorithms and third-party data. They are intended as decision-support tools and should not be treated as professional appraisals, guarantees, or substitutes for independent due diligence. You are solely responsible for verifying all information and making your own purchasing decisions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODONCA INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, data, or business opportunities
• Losses arising from purchasing decisions made based on information provided by the Services
• Damages arising from unauthorized access to or alteration of your data
• Damages arising from any third-party content or services accessed through the Platform

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO CODONCA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless Codonca Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Any content or data you submit or transmit through the Services

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, or extended periods of inactivity.

Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification obligations.

You may terminate your account at any time by contacting us at support@codonca.com. Termination of your account does not entitle you to a refund of any previously paid fees, except as expressly provided in Section 5 (Payment Terms).

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Services shall be resolved exclusively in the state or federal courts located in the State of Florida. You consent to the personal jurisdiction of such courts and waive any objection based on venue or inconvenient forum.

Before initiating any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at support@codonca.com. We will attempt to resolve the dispute in good faith within thirty (30) days of receiving your notice.

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to the practices described in our Privacy Policy. Please review our Privacy Policy for full details.

We are committed to protecting your personal data in accordance with applicable privacy laws and regulations.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

We may also update these Terms from time to time. The "Last Updated" date at the top of this page indicates when these Terms were last revised. Material changes will be communicated to registered users via email or in-app notification.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

The failure of Codonca to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

These Terms, together with our Privacy Policy and any additional terms or policies referenced herein, constitute the entire agreement between you and Codonca Inc. regarding your use of the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
